These Terms of Use (the "Terms") govern your access to and use of MindVast, including mindvast.co, its research workspace, research outputs, account features, and related services (collectively, the "Service"). The Service is provided by MODELRECS, LLC ("Modelrecs," "we," "us," or "our"). MindVast is the name of a product operated by MODELRECS, LLC, not a separately identified contracting entity. By accessing or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of legal majority where you live if higher, to create an account or use paid features. You agree to provide accurate account information, safeguard access to your email and identity provider, and promptly notify us of suspected unauthorized account activity. Authentication may be provided through Google sign-in or email-based sign-in, as available. You are responsible for activity under your account except to the extent caused by our failure to meet applicable legal obligations. We may require verification, restrict access, or suspend accounts to address fraud, abuse, security incidents, or violations of these Terms, subject to applicable law.

MindVast helps users investigate scholarly questions by retrieving and organizing research information and producing AI-assisted interpretations, evidence relationships, competing explanations, limitations, and unresolved questions. Results depend on available metadata, abstracts, source coverage, third-party services, and automated processing. The Service does not guarantee that it has reviewed every relevant publication or the full text of any cited work. MindVast is a research aid, not a peer-review process, scholarly publisher, or independent verification service.

"Inputs" are questions, follow-up questions, and other materials you submit. "Outputs" are analyses, summaries, interpretations, and other materials generated through the Service. As between you and Modelrecs, you retain whatever rights you hold in your Inputs. You grant Modelrecs a limited, nonexclusive license to host, transmit, process, store, and display Inputs solely as reasonably necessary to provide, secure, maintain, and support the Service, as further described in the Privacy Policy. You represent that you have the rights necessary to submit your Inputs and that doing so does not violate law or third-party rights. Subject to these Terms and any third-party rights, you may use and share your Outputs for lawful research, teaching, and professional purposes. This permission does not transfer ownership of Modelrecs technology, source publications, or third-party content. AI-generated material may not qualify for intellectual-property protection, may resemble material generated for other users, and is not guaranteed to be exclusive.

Outputs may be inaccurate, incomplete, outdated, inconsistent across runs, or misleading. Citations, links, bibliographic details, inferred relationships, and summaries may contain errors. You must assess the suitability of Outputs for your purpose, verify material claims against original sources, and follow the standards of your discipline or institution. Outputs should not be relied upon as the sole basis for clinical, medical, legal, financial, safety-critical, public-policy, or other high-impact decisions. Nothing in the Service substitutes for appropriately qualified professional advice.

The Service may display or link to research records, abstracts, publications, identifiers, and other content from OpenAlex, publishers, repositories, and other sources. Those materials remain subject to the rights, licenses, and terms of their respective owners. Access through MindVast does not mean that a paper is open access, that its full text was analyzed, or that it may be reproduced without permission. You are responsible for lawful reuse and attribution of third-party material.

Eligible accounts may receive three complimentary research analyses, subject to the current offer, eligibility requirements, and abuse-prevention controls displayed in the Service. Complimentary access is not a cash credit, cannot be transferred or redeemed for money, and may be unavailable to accounts or users who previously received an introductory allocation. We may apply reasonable limits on analysis volume, request size, automated access, and resource consumption to protect reliability and prevent abuse. We will not disclose sensitive security-detection criteria.

Certain features require a paid subscription. The price, billing period, included entitlements, taxes, and material restrictions are disclosed at purchase. Payments and subscription management may be handled by Stripe. Unless otherwise stated at checkout, subscriptions automatically renew at the end of each billing period until canceled. You may cancel through the available subscription-management controls or by contacting info@modelrecs.com. Cancellation stops future renewals, and paid access continues until the end of the then-current paid subscription period unless otherwise required by law. ALL PAYMENTS ARE FINAL AND NONREFUNDABLE, EXCEPT WHERE A REFUND IS REQUIRED BY APPLICABLE LAW. We do not provide voluntary refunds or prorated credits for unused time. At the end of the paid subscription period following cancellation, we delete the research questions, generated packets, and research history associated with the canceled subscription from active application storage, subject to the limited exceptions and backup handling explained in our Privacy Policy. Cancellation and expiration of paid access may not remove the account identifier, payment records, or security/eligibility records that must or may lawfully be retained. You should export or save any research you wish to keep before your paid period ends, if export or saving is available. If payment fails, paid features may be restricted in accordance with applicable law.

You may not: (a) access or attempt to access accounts, systems, or data without authorization; (b) evade account eligibility, payment, or usage restrictions; (c) use bots, scraping, or bulk extraction in a way not expressly authorized; (d) reverse engineer or attempt to extract nonpublic source code, proprietary prompts, models, ranking logic, or security mechanisms except where applicable law expressly permits; (e) interfere with service operation or introduce malicious code; (f) submit material that infringes rights or violates law; (g) impersonate others or misrepresent affiliations; or (h) use the Service to facilitate unlawful conduct. We may investigate suspected violations and take proportionate action, including suspension or termination, subject to applicable law.

MODELRECS, LLC and its licensors retain all rights in the Service, including its software, design, interfaces, documentation, trademarks, branding, and proprietary research-processing technology, except for user Inputs and third-party materials as described above. No license to underlying code, confidential methods, trademarks, or patent rights is granted except the limited right to access and use the Service under these Terms. "MindVast" and related branding may be used only as permitted by law or with prior written authorization.

Our Privacy Policy describes the personal information we collect, why we use it, and categories of service providers that may process it. Providing research analysis may involve transmitting research Inputs and relevant context to external AI providers and scholarly information services. Do not submit information that you are prohibited from disclosing, including third-party confidential information, regulated records, or sensitive personal information, unless you have independently determined that such submission is appropriate and lawful.

We may update features, supported sources, usage limits, and the Service over time. We do not guarantee uninterrupted availability, particular research coverage, or continued availability of a third-party source. Changes to paid entitlements or billing will be handled in accordance with the purchase terms and applicable law. We may temporarily restrict access for maintenance, security, or operational reasons.

You may request account closure using available account controls or by contacting info@modelrecs.com. If you cancel a paid subscription, paid access generally continues until the end of the current paid term, at which point associated research questions, research packets, and research history are deleted from active application storage. Account closure may occur separately. Certain account, security, eligibility, payment, legal, and backup records may be retained as explained in the Privacy Policy and as permitted or required by law. Do not rely on MindVast as your only archive of research materials.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED OPERATION. MODELRECS DOES NOT WARRANT THAT AN OUTPUT WILL BE CORRECT, COMPLETE, ORIGINAL, SUITABLE FOR PUBLICATION, OR ACCEPTED BY A RESEARCH INSTITUTION. NOTHING IN THESE TERMS EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MODELRECS, LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, CLAIMS, OR LIABILITIES ARISING OUT OF OR RELATING TO THE SERVICE, THE WEBSITE, RESEARCH INPUTS, OUTPUTS, CITATIONS, THIRD-PARTY MATERIALS, INTERRUPTION, OR INABILITY TO USE THE SERVICE, WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE, AND REGARDLESS OF THE THEORY OF LIABILITY. IF A COURT DETERMINES THAT LIABILITY CANNOT BE EXCLUDED ENTIRELY, THEN, TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MODELRECS, LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, OR RESTRICTS NONWAIVABLE STATUTORY RIGHTS.

To the extent permitted by law, if you use the Service on behalf of a business or organization, you agree to defend and indemnify MODELRECS, LLC against third-party claims arising from your unlawful Inputs, your material breach of these Terms, or your infringement of third-party rights, except to the extent caused by Modelrecs' own misconduct or breach. This clause is subject to review for consumer-law applicability and does not override nonwaivable rights.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where mandatory law provides otherwise. Subject to applicable consumer-protection rules and jurisdictional requirements, disputes may be brought in courts of competent jurisdiction in New York, New York. Nothing here prevents a person from exercising nonwaivable rights in another applicable jurisdiction. No mandatory arbitration agreement or class-action waiver is created by these Terms.

We may revise these Terms to reflect changes in the Service, law, or business operations. We will post an updated version with its effective date and provide additional notice where required. If a change materially affects paid service rights, we will handle it as required by applicable law. Continued use after revised Terms become effective constitutes acceptance only to the extent permitted by law.

If any provision is unenforceable, the remaining provisions remain effective to the extent possible. Failure to enforce a provision is not a waiver. You may not transfer your account or rights under these Terms without our consent, except as required by law. These Terms and incorporated policies form the agreement regarding use of the Service, except for any separately agreed written enterprise terms. Headings are for convenience only.
